Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the software, integrations, and services provided by Optivus Tech (the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Accounts and Access

You are responsible for the accuracy of registration details and for maintaining the confidentiality of credentials. You must promptly notify us of any unauthorized access.

2. License Grant

Subject to payment and compliance, we grant a limited, non‑exclusive, non‑transferable license to use the Services as specified in an order form or statement of work (SOW). All rights not expressly granted are reserved by Optivus Tech.

3. Acceptable Use

• No reverse engineering, decompiling, or circumvention of technical controls.
• No unlawful, harmful, or infringing content or use.
• Respect fair use and rate limits; no automated scraping without written permission.

4. Customer Content

You retain ownership of your content. You grant us a limited license to process content solely to provide the Services.

5. Confidentiality

Each party will protect the other party’s confidential information with reasonable care and use it only for purposes of the engagement.

6. Intellectual Property

Optivus Tech retains all intellectual property rights in the Services, including software, models, configurations, and documentation.

7. Warranties and Disclaimers

Except as expressly stated in writing, the Services are provided “as is” and “as available,” without warranties of any kind.

8. Limitation of Liability

To the maximum extent permitted by law, liability is limited to direct damages up to fees paid in the twelve (12) months preceding the claim. No indirect or consequential damages.

9. Term and Termination

Either party may terminate for material breach after written notice and a thirty (30) day cure period. Upon termination, access is revoked, and data handling obligations apply per our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of Slovenia, without regard to conflict of law principles. Venue will be within Slovenia.

11. Changes

We may update these Terms from time to time. Material changes will be communicated, and continued use after the effective date constitutes acceptance.
